Delays caused by the client may affect delivery schedules.
7. Payments
Payment terms shall be outlined in each project proposal or service agreement.
Unless otherwise agreed:
- Deposits are non-refundable once work has commenced.
- Outstanding balances are payable according to the agreed payment schedule.
- Sysevolve Technologies reserves the right to suspend work on overdue accounts until payments are received.
8. Intellectual Property

- Clients retain ownership of materials they provide.
- Sysevolve Technologies retains ownership of its methodologies, templates, tools, proprietary code, documentation, and internal processes.
- Ownership of completed custom work transfers to the client only after full payment has been received.
Third-party software remains subject to the respective vendor’s licensing terms.
9. Third-Party Products and Services
Projects may include third-party products, hosting services, software licenses, APIs, cloud platforms, payment gateways, or integrations.
Sysevolve Technologies is not responsible for service interruptions, pricing changes, policy updates, discontinued products, or technical issues originating from third-party providers.
10. Warranties
We warrant that our services will be performed with reasonable skill, care, and professional diligence.
Except where expressly stated, all services are provided on an “as available” and “as is” basis without guarantees that systems will operate without interruption or that every security threat can be eliminated.
11. Limitation of Liability

Our total liability shall not exceed the amount paid by the client for the specific service giving rise to the claim.

Clients remain responsible for maintaining secure passwords, protecting user credentials, implementing internal security policies, and following recommended cybersecurity practices.
13. Confidentiality
We treat client information as confidential and will not disclose confidential information except:
- Where required by law.
- Where authorized by the client.
- Where necessary to perform contracted services using trusted partners.
14. Website Use
Users agree not to:
- Attempt unauthorized access to our systems.
- Upload malicious software.
- Interfere with website functionality.
- Copy or reproduce website content without written permission.
- Use the website for unlawful purposes.
We reserve the right to restrict access to users who violate these Terms.
15. Service Availability

- Information supplied by the client.
- Client misuse of delivered solutions.
- Infringement of third-party rights through client-provided materials.
- Violation of applicable laws.
18. Force Majeure
Sysevolve Technologies shall not be liable for delays or failure to perform caused by circumstances beyond our reasonable control, including natural disasters, internet outages, power failures, labor disputes, governmental actions, pandemics, or acts of war.
19. Governing Law
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Republic of Kenya.
Any disputes arising from these Terms shall first be addressed through good-faith negotiations. Where resolution cannot be reached, disputes shall be subject to the jurisdiction of the competent courts of Kenya.
